Summary of Proposed EWUA By Laws Changes

 

Article VII of the bylaws provides the procedures for amending the bylaws, briefly summarized as follows:

  1. The Board voted on August 31, 2023,  to commence the formal bylaw amendment process.
  1. The Board has scheduled member engagement ZOOM meetings on  September 18 and  September 22 (both at 3pm).

The purpose of the engagement meeting is to explain proposed changes, solicit questions, feedback, and recommendations from the Members before a final draft of proposed changes is distributed to all members.  Links for joining the ZOOM meetings will be sent out to members in advance of the meetings and on the day before (as a reminder).

  1. The Board will then consider Member comments and recommendations, and draft final proposed changes to the Bylaws.
  1. The final changes will be distributed to all Members on or before October 6th (at least 10 days in advance of final board consideration)
  1. The Board will adopt the changes at a subsequent board meeting.

The following describes the major substantive changes as proposed:

  • Article II (D) Appeals – provides an improved and clear  process for member appeal of board decisions.
  • Article IV (C) (e) A statement has been added that protects all prior agreements of members and EWUA (see the last sentence)
  • Article V (B) The 3 percent threshold  for special meetings has been changed  to 10% on recommendation of legal counsel.   The quorum of the Membership (subsection e) has been added.  Elections of Board members is set for the month of November.
  • Article VI (A) (b). Only a member of the Associations my serve as a director.   The member representative exception has been deleted from the By Laws.
  • Article VI (A) (f) Board decisions may be made via email by unanimous consent and any decisions shall be included in the next regular meeting minutes.
  • Article VI (A) (j) An appointed replacement of a director  by the board will serve and complete the unexpired term of the member whose seat is assumed.
  • Article VI (C) (d). Duties of conduct for Directors has been added.
  • Article VI (D) The thresholds for recall of a director have been increased from 3% to 10% on advice of counsel.    (Note:  This change will NOT impact the current RECALL effort)   

Article VI (H) The duties of the Secretary / Treasurer are now split.  Going forward there will be four (4) officers:  President, Vice President, Secretary and Treasurer.  Note:  With  increased financial oversight protocols in  place the Treasurer (volunteer) will have substantially increased workload obligations.  The President will serve for one year.

  • Article VI (H) (g) The Board shall create a formal Governance committee.

 Article IX – General Rules  has been removed as it is no longer applicable to EWUA.

  • Article X Records has been added.
